This Software Licensing Agreement (“Agreement”) governs access to and use of the 10Scan software platform (“Software”). By clicking “I Agree”, creating an account, purchasing a license, or using the Software, you agree to be legally bound by this Agreement.
This Agreement is entered into by and between TenScan LLC (“10Scan,” “we,” “us,” or “our”) and the business entity accepting this Agreement (“Licensee,” “you,” or “your”).
1. Business-to-Business Use Only
10Scan provides the Software exclusively on a business-to-business (B2B) basis. The Software is intended for use by federally licensed firearms dealers and related businesses only. No consumer use is permitted.
2. License Grant
Subject to payment of applicable fees and compliance with this Agreement, 10Scan grants Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for lawful business purposes related to biometric capture and EFT generation for NFA eForm submissions.
3. License Plans
Licensee must select one plan at checkout. Pricing and features are described on the website and incorporated by reference.

Plan terms, pricing, and renewal fees are subject to change upon notice.
4. Fees, Billing, and Renewals
All fees are due in advance and are non-refundable. Annual renewals are required to maintain access. Failure to pay may result in suspension or termination without notice.
5. Dealer Responsibility and Compliance
Licensee is solely responsible for:
Accuracy of all data entered into the Software
Reviewing, validating, certifying, and submitting EFTs and forms
Compliance with all federal, state, and local laws, including ATF, FBI, and NFA requirements
10Scan does not review, validate, certify, or guarantee any data, EFTs, or submissions.
6. Prohibited Use
Licensee shall not:
Share access credentials or sublicense the Software
Reverse engineer or attempt to bypass licensing controls
Use the Software for unlawful, fraudulent, or misleading purposes
Any prohibited use constitutes a material breach.
7. Suspension and Termination
10Scan may suspend or terminate access to the Software at any time, with or without cause, and without notice, including for suspected abuse, non-payment, regulatory risk, or violation of this Agreement.
Upon termination, all licenses immediately cease and access will be disabled. No refunds will be issued.
8. Disclaimer of Warranties
THE SOFTWARE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” 10SCAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
10Scan does not guarantee government acceptance, regulatory approval, or business outcomes.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 10SCAN SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10Scan’s total liability shall not exceed the fees paid by Licensee in the twelve (12) months preceding the claim.
10. Indemnification
Licensee agrees to indemnify, defend, and hold harmless 10Scan from any claims, damages, penalties, or liabilities arising from Licensee’s use or misuse of the Software or failure to comply with law.
11. Governing Law and Venue
This Agreement is governed by the laws of the State of Michigan, without regard to conflict-of-law rules. Any dispute shall be brought exclusively in state or federal courts located in Michigan.
JURY TRIAL WAIVER: THE PARTIES WAIVE ANY RIGHT TO A TRIAL BY JURY.
12. Electronic Acceptance
Acceptance of this Agreement by electronic means, including clicking a checkbox or button, constitutes a legally binding signature.
13. Modifications
10Scan may update this Agreement at any time. Continued use of the Software after posting constitutes acceptance of the updated terms.
